These Terms of Service ("Terms") form a binding legal agreement between you (together with any business you represent, "you", "Merchant" or "Customer") and Masanchara (Private) Limited, a company incorporated in Zimbabwe ("Masanchara", "we", "us" or "our").
By downloading, installing, activating, accessing or using the Masanchara mobile application, desktop application, administrative console, websites, APIs or any related service (together, the "Service"), you accept these Terms in full. If you do not accept them, you must not install or use the Service.
If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you lack that authority, you must not use the Service.
Effective 12 October 2026. Last updated 12 October 2026.
1. Definitions
- "Account" means the Merchant profile, users and credentials used to access the Service.
- "Device" means a single physical or virtual computing device on which the Service is installed and licensed.
- "Entitlement" means the licence record that determines whether, for how long and at what plan tier a Device may use the Service.
- "Merchant Data" means all data you or your users enter into, generate within or upload to the Service, including sales, inventory, ledger entries, customer and supplier records.
- "Subscription" means a paid, recurring right to use the Service at a specified plan tier.
- "Trial" means a time-limited right to use the Service at no charge.
- "Tamper" has the meaning given in clause 12.
2. Licence grant and restrictions
Subject to your continuous compliance with these Terms and payment of all applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Service on the number of Devices permitted by your Entitlement, solely for your own internal business purposes.
The Service is licensed, not sold. We and our licensors retain all right, title and interest in and to the Service, including all intellectual property rights. No rights are granted other than those expressly stated in these Terms.
The licence is bound to the Device it is activated against and is not transferable to another Device, installation, Account or person in any circumstances, including the loss, theft, damage, replacement or failure of that Device. Clause 8A governs this and prevails over any inconsistent statement elsewhere.
You must not, and must not permit any third party to:
- copy, modify, adapt, translate, port or create derivative works of the Service except to the limited extent that such a restriction is prohibited by applicable law;
- reverse engineer, decompile, disassemble, deobfuscate or otherwise attempt to derive the source code, algorithms, cryptographic keys or internal structure of the Service, except where and to the extent this right cannot lawfully be excluded (in which case you must first request the necessary information from us in writing);
- circumvent, disable, remove, tamper with or interfere with any licensing, entitlement, device-binding, activation, cryptographic signature, hash-chain, audit-log, time-verification or usage-limitation mechanism;
- rent, lease, lend, sell, resell, sublicense, distribute, host, or make the Service available to any third party as a service bureau, multi-tenant offering or on any "as a service" basis;
- use the Service to build, train or improve a competing product or any machine-learning model, or to benchmark it for publication without our prior written consent;
- remove, obscure or alter any proprietary notice, watermark or attribution;
- exceed the Device, user, branch or transaction limits of your Entitlement, or share credentials across more Devices or users than your Entitlement permits;
- access the Service by automated means other than our documented APIs, or probe, scan or load-test the Service without written authorisation.
Each restriction in this clause is a material term. Breach entitles us to exercise any remedy in clause 12 and clause 15.
3. Accounts, PINs and security
You are responsible for maintaining the confidentiality of all Account credentials, including owner and staff PINs, and for all activity occurring under your Account, whether or not authorised by you.
You must ensure that every user of the Service is a distinct individual with their own credentials, that PINs are not shared, and that credentials of departing staff are revoked promptly. Shared or sequential credentials materially undermine the audit trail and you accept the consequences of using them.
You must notify us at security@masanchara.com without undue delay, and in any event within 24 hours, of any suspected or actual unauthorised access, credential compromise, or fraud affecting the Service.
We may require multi-factor authentication, minimum PIN complexity, device approval or re-authentication as a condition of access, and may change these requirements to address security risk.
4. Subscriptions, fees, taxes and renewals
Fees, billing periods and plan entitlements are those presented at the point of purchase or in your order form. Unless expressly stated otherwise, all fees are quoted exclusive of taxes and are non-refundable except as required by applicable law or clause 4.6.
Subscriptions renew automatically at the end of each billing period at the then-current rate for your plan, unless cancelled before the renewal date. You authorise us and our payment processors to charge your nominated payment method on each renewal.
You are responsible for all taxes, duties, levies and withholdings arising from your purchase, other than taxes on our net income. Where we are required to collect such amounts, they will be added to your invoice.
Pricing may vary by country. Pricing offered for one country or region is conditional on your genuine place of establishment and operation in that country or region. Using a virtual private network, proxy, falsified address, foreign payment instrument or any other means to obtain pricing for which you are not eligible is a breach of these Terms, and we may reprice your Subscription to the correct tier retroactively, recover the difference, and treat the conduct as Tamper under clause 12.
We may change fees on not less than thirty (30) days' notice, effective from your next billing period. If you do not accept a change, you may cancel before it takes effect; continued use after that date constitutes acceptance.
Where a statutory cooling-off or withdrawal right applies to you as a consumer, nothing in these Terms limits that right.
If any amount is overdue, we may suspend the Service, downgrade your Entitlement, or charge interest at the lesser of 2% per month or the maximum permitted by law, together with reasonable costs of collection.
5. Trials, gifts and promotional entitlements
Trials and promotional or gifted Entitlements are provided at our discretion, for the period and tier stated, and may be varied, shortened or withdrawn at any time where there is misuse, abuse, or a legitimate business reason.
Unless we state otherwise at the point of installation, a Trial runs for five (5) days from the moment the Device is first registered, or from approval where the Device requires it.
Trials are limited to one per Merchant and per Device unless we state otherwise. Creating multiple Accounts, resetting Device identifiers, reinstalling, or otherwise attempting to obtain repeated or extended Trials is a breach of these Terms and is treated as Tamper under clause 12.
Early-bird pricing. Where we offer a discount for subscribing within a stated number of days of a Trial beginning, that offer is: personal to the Device whose Trial it relates to and not transferable; available once per Device; applied to the first billing period only, with every subsequent renewal charged at the then-current standard rate for the plan and territory; and calculated against the standard price for the plan, billing interval and pricing territory resolved for that Device at the time of purchase. The offer expires automatically at the end of the stated window, is not extended for any reason including Device unavailability, connectivity failure or payment failure, and cannot be reinstated afterwards. We may vary or withdraw the offer for future customers at any time; doing so does not affect a discount already applied to a completed purchase.
At the end of a Trial, the Service will stop functioning or enter a restricted mode unless a paid Subscription is active. You are responsible for exporting any data you wish to retain before that time. Clause 8 and clause 8A apply to that data.
6. Acceptable use
You must not use the Service to:
- record, conceal or facilitate any transaction that is unlawful, fraudulent, or intended to evade tax, customs, exchange-control, sanctions or anti-money-laundering obligations;
- produce false, backdated, duplicated or misleading financial records, invoices, receipts or fiscal documents;
- infringe the rights of any person, or process data you have no lawful basis to process;
- transmit malware, or interfere with the integrity, availability or performance of the Service or any connected system;
- engage in any activity that exposes us to regulatory, reputational or legal risk.
You are solely responsible for the lawfulness of your own business operations, including licensing, fiscalisation, invoicing, tax registration, employment, consumer-protection and data-protection compliance in every jurisdiction in which you operate.
7. No professional, accounting, tax or fiscal advice
The Service is a bookkeeping and operations tool. It does not provide accounting, auditing, tax, legal, financial or investment advice, and no output of the Service constitutes such advice or a substitute for a qualified professional.
Features including ledgers, trial balances, financial statements, cost calculations (FIFO or moving average), cash-flow forecasts, fraud indicators, integrity scans, aging reports and tax computations are automated aids based on the data you enter and the settings you choose. Their accuracy depends entirely on the completeness and correctness of that data and those settings.
You remain solely responsible for reviewing, verifying, reconciling and approving all records before relying on them, and for the preparation, accuracy and timely submission of every statutory return, fiscal record, financial statement and disclosure. We are not your accountant, auditor, tax agent or fiscal-device operator.
Fraud-detection outputs are statistical indicators only. They are not findings of wrongdoing, evidence of dishonesty, or a basis on their own for disciplinary, employment or criminal action, and must be independently corroborated before you act. You are responsible for any employment or defamation consequence of how you use them.
Tax rates, tier mappings and regulatory templates may change without notice and may be incomplete or out of date for your jurisdiction. You must verify them.
8. Merchant Data, offline operation and backups
You retain all right, title and interest in Merchant Data. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, process and display Merchant Data solely as necessary to provide, secure, support and improve the Service, and as permitted by the Privacy Policy.
You represent and warrant that you have all rights, consents and lawful bases necessary for us to process Merchant Data, including personal data of your own customers, staff and suppliers, and that your instructions to us will not cause either party to breach applicable data-protection law.
The Service is a single-device, offline-first product. Merchant Data is created, stored and held locally on the Device, in that Device's own encrypted database. We do not operate a synchronisation service, we do not maintain a server-side replica of Merchant Data, and no copy of your records is transmitted to us in the ordinary course of using the Service. Nothing in these Terms should be read as a representation that we hold, can recover, or can reproduce your records.
When the Device is offline, licence status and entitlement limits cannot be verified in real time, and enforcement of those limits is deferred until the Device next reaches our servers. You accept the operational and accounting consequences of that deferral.
You are solely responsible for creating, testing, storing and safeguarding independent backups of Merchant Data, and for verifying that those backups are complete and restorable. The Service provides an export and backup facility for that purpose; using it is your responsibility and not ours, and we are under no obligation to remind, prompt or ensure that you do so.
We do not warrant that we hold a recoverable copy of your data, and, to the maximum extent permitted by law, we are not liable for any loss, corruption, inaccessibility or destruction of Merchant Data however arising, including from Device failure, malfunction, damage, loss, theft, seizure, confiscation, destruction, uninstallation, factory reset, operating-system behaviour or update, storage exhaustion, battery or hardware fault, rooting or jailbreaking, malware, your own deletion, or the act or omission of any person to whom you gave access to the Device. See clause 8A, which governs the loss or failure of a Device specifically.
On termination we may delete any Merchant Data held by us after the retention period stated in the Privacy Policy. Export your data before terminating.
8A. Device loss, damage, failure and non-transferability
This clause governs what happens if the Device on which the Service is installed is lost, stolen, damaged, destroyed, seized, sold, replaced, wiped, or ceases to function for any reason. It applies in addition to clause 8 and prevails over any inconsistent statement elsewhere in these Terms.
Local records. Merchant Data resides on the Device. If the Device is lost or stops functioning, the Merchant Data held on it is, so far as we are concerned, unrecoverable. We hold no copy, we cannot reconstruct it, and we have no obligation to attempt to do so. To the maximum extent permitted by law, we accept no liability of any kind for the loss of Merchant Data in these circumstances, including for lost profits, lost revenue, reconstruction costs, accounting or audit costs, tax or regulatory penalties, business interruption, or any other loss, whether direct or indirect and whether or not we were told such loss was possible.
Backups are your protection, not ours. The only protection against the loss of local records is a backup you made and can restore. You acknowledge that you have been told this clearly, before purchase and again at first launch of the Service, and that the responsibility for acting on it is yours alone.
Subscriptions are bound to a Device and are not transferable. Each Entitlement is activated against, and bound to, a specific Device installation. A Subscription is personal to that Device. It cannot be moved, reassigned, transferred, ported, sold, gifted, inherited or otherwise made available to another Device, another installation, another Account or another person, whether or not the original Device still exists and whether or not any part of the paid term remains unused.
No refund, credit, extension or compensation. If a Device is lost, stolen, damaged, destroyed, seized, replaced or ceases to function, the Subscription bound to it continues to run and to expire according to its original term. We will not, and are under no obligation to, provide any refund (whether full or pro-rata), credit, discount, extension, replacement licence, transfer, reactivation or compensation of any kind in respect of the unexpired portion of that Subscription or of any Merchant Data lost with the Device.
You acknowledge that this allocation of risk is a material and negotiated part of the bargain, that the fees charged for the Service are set materially lower than they would otherwise be precisely because we bear no device-replacement, data-recovery or subscription-portability risk, and that you have had the opportunity to obtain insurance against Device loss and to maintain your own backups.
Discretionary assistance is not a right. We may, entirely at our own discretion and without creating any precedent, obligation or course of dealing, agree to reissue an activation for a replacement Device in cases we consider genuine. Any such assistance is a concession, is not an admission of liability, may be refused for any reason or none, may be conditioned on verification of ownership and on payment of an administrative fee, and does not waive any part of this clause. Nothing in this paragraph gives you any right to request, expect or enforce such assistance.
Repeated claims. Repeated requests for reactivation, or requests we reasonably consider to be an attempt to obtain additional installations, extended Trials or shared use of a single Subscription, are treated as Tamper under clause 12.
Mandatory law. Nothing in this clause excludes or limits any liability, right or remedy that cannot lawfully be excluded or limited under the law that applies to you, including any non-excludable consumer guarantee. Where such a right applies, this clause takes effect subject to it, and our liability is limited to the minimum the applicable law permits. The remainder of this clause continues to apply in full.
9. Availability, updates and changes to the Service
Unless a separate written service-level agreement applies, the Service is provided without any uptime commitment. We may perform maintenance, and may suspend the Service where necessary to protect its security or integrity.
We may add, change, restrict or discontinue features. Where a change materially reduces core functionality of a paid plan, we will give reasonable notice and, at our option, offer a comparable feature or a pro-rata refund of prepaid unused fees for the affected period.
You must install updates. Older versions may be blocked where they present a security, licensing, data-integrity or legal-compliance risk. We do not support versions we have withdrawn.
10. Third-party services and app stores
The Service may interoperate with third-party services (payment processors, hardware, messaging, cloud infrastructure, app stores). Those services are governed by their own terms, and we are not responsible for their acts, omissions, availability, pricing or data practices.
Where you obtain the Service through a third-party app store or distribution platform, that platform's terms also apply. The platform provider is not a party to these Terms, has no obligation to provide support for the Service, and, to the maximum extent permitted by law, has no liability in respect of it.
11. Feedback
If you submit suggestions, feature requests, bug reports or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use and exploit it for any purpose without obligation, attribution or compensation. Do not send us feedback you consider confidential or proprietary.
12. Tampering, licence circumvention and fraud
This clause is material to the commercial basis on which the Service is provided. "Tamper" means any act or attempted act, whether by you, your personnel, or any person using your Account or Device, that is intended or reasonably likely to defeat the technical, financial or evidential integrity of the Service, including:
- modifying, patching, repackaging, recompiling, instrumenting, hooking, injecting into, emulating or running the Service in a modified runtime, container or virtualised environment in order to alter its behaviour;
- defeating, forging or replaying licence validation, device registration, device binding, entitlement checks, activation tokens, signature verification or offline lease enforcement;
- manipulating device, system or network time, time zones, or interfering with clock-drift detection, in order to extend a Trial, entitlement, offline lease or grace period;
- resetting, spoofing, cloning or randomising device identifiers, install identifiers or hardware fingerprints to obtain additional Trials, evade revocation, or exceed Device limits;
- altering, deleting, truncating, reordering, re-signing or otherwise interfering with the ledger, journal entries, hash chain, audit logs, integrity-scan records, stock layers or any immutability control;
- suppressing, disabling or falsifying fraud-detection, reconciliation, integrity-scan or audit functionality, including to conceal theft, shrinkage or misappropriation;
- creating false records to obtain refunds, chargebacks, credits, gifted plans, promotional pricing, support concessions or geographic pricing to which you are not entitled;
- initiating a chargeback or payment reversal for amounts genuinely due while continuing to use the Service;
- obtaining or using a licence key, entitlement, activation token or administrative credential that was not issued to you, or assisting any person to do so;
- distributing, publishing, hosting or promoting tools, keys, patches, guides or instructions for any of the above.
Detection and evidence. You acknowledge and consent that the Service records technical telemetry for the purpose of detecting Tamper, including device and install identifiers, integrity and signature checks, clock-drift indicators, entitlement validation results, hash-chain verification outcomes and licence events, and that these records may be retained and used as evidence. You will not disable or interfere with this recording. Attempting to do so is itself Tamper.
Immediate remedies. Where we reasonably believe Tamper has occurred or is being attempted, we may, without prior notice and without refund:
- suspend, restrict, downgrade, revoke or terminate any Entitlement, Device registration, Account or Subscription;
- place the Service into restricted or read-only mode, or block the affected Device or installation permanently;
- blacklist the device identifier, install identifier, payment instrument and Account, and refuse future service to you and to any affiliated person;
- withhold support and refuse to migrate or export data where doing so would perpetuate the Tamper;
- preserve forensic copies of the relevant logs, records and artefacts.
Financial consequences. In addition to termination, you must pay us, on demand: (a) all fees that would have been payable had the Service been used in accordance with your correct Entitlement for the entire period of the Tamper, at the highest applicable list price and without any discount, plus (b) our reasonable costs of investigation, forensic analysis, remediation, re-issuance of credentials, and enforcement, including legal fees on a full indemnity basis. The parties agree these amounts are a genuine and proportionate estimate of the loss caused by Tamper, having regard to the difficulty of quantifying it precisely, and are not a penalty.
Legal action. Tamper may constitute a criminal offence, including under computer-misuse, cybercrime, copyright, forgery, fraud and data-protection legislation in Zimbabwe and elsewhere. We reserve the right to report suspected offences to law-enforcement, regulatory, tax and financial-crime authorities, to co-operate fully with them, and to provide them with the evidence described above. We may also seek injunctive relief, specific performance, delivery-up, account of profits and damages. Because damages alone are an inadequate remedy for interference with licensing and ledger-integrity controls, you agree we may seek interim injunctive relief without the need to prove special damage or post security, to the extent permitted by law.
No estoppel by delay. Our failure to detect or act on Tamper immediately does not waive any right, and continued provision of the Service during an investigation is not a waiver, election or affirmation.
Reporting. If you become aware of Tamper by any person, including your own staff, you must notify us promptly at security@masanchara.com and take reasonable steps to stop and preserve evidence of it.
13. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", with all faults and without warranty of any kind. We expressly disclaim all warranties and conditions, whether express, implied, statutory or otherwise, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, secure against all attack, compatible with any particular device or operating-system version, or that it will detect all fraud, prevent all loss, or produce records that satisfy the requirements of any tax authority, auditor or regulator.
In particular, and without limiting the generality of the above, we give no warranty that Merchant Data stored on a Device will remain intact, accessible or recoverable, that any backup you create will be complete or restorable, or that a Subscription can be recovered, transferred or reissued if the Device it is bound to is lost or ceases to function. Clause 8A applies.
Nothing in these Terms excludes or limits any warranty, guarantee or right that cannot lawfully be excluded, including mandatory consumer guarantees. Where such rights apply, our liability is limited to the minimum permitted by that law.
14. Limitation of liability
To the maximum extent permitted by law, neither party is liable for any indirect, incidental, special, consequential, exemplary or punitive loss, or for any loss of profit, revenue, business, goodwill, anticipated saving, contract, opportunity, or for loss, corruption or inability to access data, however caused and whether or not foreseeable.
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Service and these Terms, whether in contract, tort (including negligence), statute, restitution or otherwise, is limited to the total fees actually paid by you to us for the Service in the twelve (12) months immediately preceding the first event giving rise to liability, or, where no fees have been paid, USD 100.
Without limiting the generality of the exclusions above, we have no liability whatsoever for loss of, damage to, or inability to access Merchant Data held on a Device, nor for the value of any unexpired Subscription bound to a Device that is lost or ceases to function. Clause 8A governs those circumstances specifically and is not cut down by anything in this clause.
The exclusions and limitations in this clause do not apply to: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) your obligation to pay fees and amounts due under clause 12; (d) your indemnity obligations; or (e) any liability that cannot lawfully be limited.
You acknowledge that the fees reflect this allocation of risk, that the limitations are a fundamental basis of the bargain, and that they apply even if a limited remedy fails of its essential purpose.
Any claim must be brought within twelve (12) months of the date on which you first became aware, or ought reasonably to have become aware, of the facts giving rise to it, except where a longer period is mandatory by law.
15. Indemnity
You will defend, indemnify and hold harmless Masanchara, its affiliates, officers, employees, contractors and licensors from and against all claims, demands, proceedings, losses, liabilities, fines, penalties, damages, costs and expenses (including legal fees on a full indemnity basis) arising out of or relating to:
- your use of the Service in breach of these Terms, including any Tamper;
- Merchant Data, including any claim that its collection, content or processing infringes rights or breaches law;
- your business operations, records, filings, invoices, tax position or dealings with your own customers, staff, suppliers or regulators;
- any action you take against any person in reliance on fraud indicators, audit logs or integrity findings produced by the Service;
- your failure to maintain backups, secure credentials, or install updates.
16. Suspension and termination
You may terminate at any time by cancelling your Subscription and ceasing use. Termination does not entitle you to a refund of prepaid fees except as required by law or expressly provided here.
We may suspend or terminate immediately, with or without notice, where: you materially breach these Terms; we reasonably suspect Tamper, fraud or unlawful use; payment is overdue; continued provision would breach law, sanctions or a third-party requirement; or you become insolvent.
On termination, all licences end, you must cease use and delete all copies, and clauses that by their nature should survive (including clauses 7, 8, 11, 12, 13, 14, 15, 17 and 18) survive.
17. Sanctions, export control and anti-corruption
You represent that you, your beneficial owners and your Account are not subject to sanctions administered by the United Nations, the United States, the United Kingdom, the European Union or any other applicable authority, are not located in an embargoed territory, and will not make the Service available to any such person.
You must comply with all applicable export-control, anti-bribery, anti-money-laundering and counter-terrorist-financing laws. Breach of this clause is a material breach permitting immediate termination.
18. Governing law and dispute resolution
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of Zimbabwe, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You acknowledge that the Service is supplied from Zimbabwe by an entity established there, that it is made available on identical terms in every territory in which it is offered, and that the fees charged reflect that single, uniform basis of supply. Where the law applicable to you permits parties to choose the governing law of their agreement, the choice above is that choice, and it is intended to apply to the fullest extent that law allows — including, without limitation, to clause 8A and to every provision of these Terms concerning the loss of local records, the failure of a Device, and the non-transferability of a Subscription.
Where you deal with us as a business rather than as a consumer, you agree that no mandatory consumer-protection regime applies to your use of the Service, that you are not entitled to the benefit of any statutory consumer guarantee, and that the courts of Zimbabwe (subject to the arbitration provision below) have exclusive jurisdiction.
The parties will first attempt in good faith to resolve any dispute by negotiation for thirty (30) days after written notice of the dispute.
If not resolved, any dispute arising out of or in connection with these Terms will be referred to and finally resolved by arbitration in Zimbabwe under the arbitration rules that apply to this agreement (Contact Support for this information), before a single arbitrator, in the English language. The award is final and binding, and judgment may be entered on it in any court of competent jurisdiction.
Nothing in this clause prevents either party from seeking urgent interim or injunctive relief from any court of competent jurisdiction, including to protect intellectual property or to restrain Tamper.
To the maximum extent permitted by law, disputes will be resolved individually, and you waive any right to bring or participate in a class, collective or representative action. Where this waiver is unenforceable in your jurisdiction, it does not apply to you and disputes will be resolved by the courts of your place of habitual residence to the extent mandatory law so requires.
Mandatory consumer law. If you use the Service as a consumer, and the law of your country of habitual residence confers rights on you that cannot be excluded or restricted by agreement, this clause does not deprive you of those rights: you retain the protection of the mandatory provisions of that law, and the right to bring proceedings in the courts of your place of residence. This applies in particular, but not only, to consumers resident in the European Union, the United Kingdom and Australia. Every other provision of these Terms, including clause 8A, continues to apply to you to the fullest extent that law permits, and is to be read as limited only to the minimum extent necessary to comply with it rather than as excluded altogether.
The parties record that the Service is designed, priced and marketed for use by businesses in the course of trade, and that a purchase made by a business is not a consumer transaction under most of the regimes referred to above.
19. General
Changes. We may amend these Terms. Material changes take effect thirty (30) days after we post them or notify you, except where a shorter period is required by law or necessary to address a security or legal risk. Continued use after that date constitutes acceptance. The current version is always published at this URL, with the "last updated" date shown above.
Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, reorganisation or sale of assets.
Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control, including acts of God, war, civil unrest, epidemic, power or telecommunications failure, internet or cloud-provider outage, currency or banking-system disruption, or governmental action.
Entire agreement. These Terms, together with the Privacy Policy and any order form, constitute the entire agreement and supersede all prior representations. Nothing in this clause limits liability for fraudulent misrepresentation.
Severability and waiver. If a provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder continues in force. No waiver is effective unless in writing.
No partnership. Nothing creates a partnership, agency, employment or joint venture.
Third-party rights. Except as stated in clause 10, no person other than the parties has any right to enforce these Terms.
Notices. Legal notices to us must be sent to legal@masanchara.com and to our registered office address (Contact Support for this information). We may give notice to you in the Service, by email to your Account address, or on this website.
Language. These Terms are drafted in English. Any translation is for convenience, and the English version prevails to the extent permitted by law.
